These Terms & Conditions (“Terms”) govern access to and use of SKENE, including skene.pub and SKENE-controlled digital channels, and participation in SKENE editorial programs. SKENE is a publication of Skene Creative Media, operated by Josafath Reynoso Creative LLC, a Texas limited liability company (“SKENE,” “we,” “us,” or “our”).

“You” and “your” mean the person accepting these Terms or, where expressly permitted, an authorized representative acting for an organization, ensemble, collective, or other entity. “Contributor” means a person or entity participating in SKENE editorial programming or submitting material for editorial publication. “Materials” includes text, interview responses, photographs, video, audio, artwork, renderings, sketches, documents, links, and other content submitted to SKENE.

These Terms do not govern paid advertising, sponsored services, commercial consulting, or other engagements governed by a separate written agreement.

1. Acceptance and Eligibility

By using SKENE or affirmatively accepting these Terms when submitting Materials, you agree to these Terms. If you do not agree, do not submit Materials.

Ordinary contributor participation is limited to persons age 18 or older. Individuals age 16 or 17 may participate only through a separate minor-participation process accepted by SKENE and with authorization from a parent or legal guardian. Individuals under 16 may not participate through the ordinary contributor workflow.

If you submit on behalf of an organization, ensemble, collective, or other entity, you represent that you have authority to accept these Terms and grant the permissions required by them on that entity’s behalf.

2. Editorial Participation

Participation in ordinary SKENE editorial programs is voluntary and does not create an employment, agency, partnership, joint-venture, fiduciary, or compensation relationship unless separately agreed in writing.

SKENE retains editorial discretion over whether, when, where, and how material is published, promoted, corrected, updated, translated, temporarily deactivated, or removed. Acceptance or review of Materials does not guarantee publication.

SKENE may decline or remove material that, in its editorial judgment, presents unresolved rights concerns, contains potentially unlawful or defamatory material, conflicts with SKENE editorial standards, or otherwise is unsuitable for publication.

3. Ownership of Contributor Materials

You retain the copyrights and other ownership rights you hold in Materials you submit. Submission does not transfer copyright or ownership to SKENE.

Photographs and other third-party works remain the property of their applicable rights holders. A contributor’s authorization for SKENE to publish, repost, display, or promote a photograph does not transfer the photographer’s or other rights holder’s copyright to SKENE or to the contributor.

Public availability through SKENE does not place any Material in the public domain and does not grant readers or other third parties a license beyond rights otherwise available under applicable law.

SKENE retains ownership of original material created by SKENE, including original introductions, editorial copy, translations prepared by SKENE, branding, logos, graphics, templates, layouts, and other original SKENE-created assets, subject to any underlying third-party rights.

4. Limited License to SKENE

You grant SKENE a nonexclusive, worldwide, royalty-free license to reproduce, publish, publicly display, distribute through SKENE-controlled channels, archive, and promote the Materials as reasonably necessary to publish and promote your participation in SKENE.

This license includes reasonable technical and editorial formatting such as cropping, resizing, compression, format conversion, responsive display, incorporation into SKENE layouts, and placement of titles, captions, logos, or similar graphic elements. SKENE will not materially alter the visual content of submitted artwork or photography without additional authorization.

The license permits reasonable reuse of Materials in SKENE editorial and promotional contexts connected with you, your feature, or your participation, including article pages, social posts and reels, newsletters, homepage placements, editorial roundups, archival resurfacing, and similar SKENE-controlled publishing contexts.

This license does not authorize SKENE to sell or license your submitted Materials as standalone assets, provide them to advertisers or sponsors for their independent use, or use your likeness or Materials to advertise an unrelated third-party product, organization, service, or event without additional authorization.

Use of a contributor image in a SKENE media kit, institutional brand campaign, or comparable promotion beyond ordinary promotion of the contributor’s feature requires separate authorization.

5. Translation and Editorial Processing

SKENE may edit submitted text for clarity, punctuation, consistency, accessibility, and publication formatting. Contributors are ordinarily given an opportunity to review editorially revised interviews and SKENE-prepared translations before scheduling or publication.

SKENE may use automated or artificial-intelligence-assisted tools for limited editorial and administrative functions, including translation, transcription, search-engine metadata, accessibility, and similar publishing operations. SKENE does not authorize contributor Materials to be provided by SKENE for the purpose of training general-purpose artificial-intelligence models.

Third-party browsers, devices, search engines, social platforms, accessibility software, translation services, and other systems may independently translate, summarize, index, transform, or display public content. SKENE does not control those independent functions.

6. Contributor Rights and Permissions Certification

When submitting Materials, you represent and warrant that you own or control sufficient rights, licenses, and permissions to submit them to SKENE and authorize the uses described in these Terms.

You further represent and warrant that you have obtained any permissions necessary for SKENE’s authorized use of individuals, creative works, and other third-party intellectual property depicted or included in the Materials.

You are responsible for the accuracy of these representations and for the Materials you choose to submit. SKENE does not obtain third-party permissions, negotiate licenses, or conduct rights clearance on your behalf.

SKENE’s editorial review is not rights clearance. SKENE’s acceptance, editing, attribution, publication, or removal of Material does not relieve you of responsibility for the accuracy of your representations.

Do not submit Material if you are uncertain whether you have authority to authorize its publication. Material displaying third-party watermarks, agency marks, copyright notices, licensing restrictions, or other indications of third-party control may be rejected regardless of your relationship to the work depicted.

If you already possess written authorization permitting publication by an independent third-party digital publication, SKENE may review that documentation. Submission of documentation does not guarantee acceptance.

7. Photographers and Production Photography

Photographers may participate as contributors, but photographic authorship alone does not establish that photographs depicting theatrical, dance, operatic, immersive, commercial, or other copyrighted productions are cleared for independent publication.

A photographer submitting such work represents that the applicable contract, commission, credential, accreditation, employment relationship, license, or other arrangement permits the photographer to authorize SKENE’s contemplated publication, and that any additional permissions legally required for that publication have been obtained.

SKENE does not seek production-side clearance on a photographer’s or contributor’s behalf and may reject material where publication authority is uncertain.

8. Fair Use and Other Lawful Editorial Uses

Nothing in these Terms limits SKENE’s ability to use copyrighted material as permitted by applicable law. In appropriate circumstances, SKENE may reproduce, quote, display, discuss, critique, or otherwise use copyrighted material for criticism, commentary, news reporting, teaching, scholarship, research, or other purposes permitted under applicable copyright law, including 17 U.S.C. § 107.

Fair use is fact-specific. An editorial, educational, journalistic, or nonprofit purpose does not by itself establish fair use.

A contributor may not rely on SKENE’s potential fair-use rights as a substitute for obtaining rights or permissions required under SKENE’s submission policies unless SKENE expressly determines that a particular editorial use will be made independently under applicable law.

9. Attribution

SKENE ordinarily credits photographers directly when authorship is known. Identification of a photographer does not constitute a determination by SKENE regarding ownership, licensing, or rights in underlying works depicted.

Image captions are editorial descriptions and are not comprehensive production credits. SKENE does not undertake to identify every performer, designer, choreographer, producer, venue, company, creator, or other person whose work or likeness may appear in an image.

10. Corrections, Complaints, and Disputed Material

SKENE may correct factual errors, add editorial notes, modify or temporarily deactivate disputed material, or remove material when SKENE receives a credible complaint or otherwise identifies a material editorial or legal concern.

If SKENE receives a good-faith complaint concerning attribution, authorization, authorship, likeness, copyright, or another interest in submitted Material, SKENE may immediately restrict or remove the Material while the matter is reviewed. SKENE may acknowledge the complaint and notify the contributor who supplied the Material.

SKENE does not adjudicate private disputes among artists, collaborators, photographers, producers, performers, designers, or other third parties. The parties may resolve the matter independently and provide SKENE with appropriate documentation or mutually agreed instructions. SKENE retains final editorial discretion regarding restoration, replacement, modification, or permanent removal.

Temporary or permanent removal does not constitute an admission of infringement, acknowledgment of ownership, or determination that any party’s claim is valid.

11. Withdrawal

A contributor may request withdrawal or modification of their interview or submitted Materials before or after publication. SKENE will process a valid request within a reasonable period and discontinue future public display of affected material on systems reasonably within SKENE’s control, subject to legitimate legal, security, archival, evidentiary, and recordkeeping needs.

Withdrawal does not require SKENE to destroy nonpublic records reasonably retained for those purposes.

SKENE cannot guarantee removal of copies, quotations, screenshots, cached versions, search results, web archives, reposts, or other material independently retained, indexed, or published by third parties.

12. Third-Party Access and Use

SKENE publishes on publicly accessible digital platforms. You acknowledge that public Material may be viewed, quoted, linked to, indexed, cached, archived, shared, scraped, or otherwise accessed by third parties.

SKENE’s publication does not grant third parties ownership of or permission to use contributor Materials beyond rights otherwise available to them under applicable law.

To the extent permitted by law, SKENE is not responsible for independent third-party copying, republication, alteration, misquotation, removal of attribution, use out of context, scraping, redistribution, artificial-intelligence processing, or other misuse occurring outside SKENE’s direction or control.

SKENE does not undertake responsibility for enforcing a contributor’s copyright, privacy, publicity, contractual, or other rights against third parties.

13. Embedded and Third-Party Content

SKENE may embed content hosted by services such as YouTube, Vimeo, Spotify, and social platforms rather than hosting a separate copy. Embedded content remains subject to the third-party service’s terms, technical operation, availability, and the rights of its provider. An embed may become unavailable if the hosting service or rights holder removes or restricts it.

SKENE may contain affiliate links, including links associated with the Amazon Associates program or similar programs. SKENE may receive a commission or other benefit from qualifying activity where disclosed. Affiliate relationships do not alter SKENE’s editorial rights standards.

Donations processed through Fractured Atlas and reservations or payments processed through PayPal or other third-party processors are governed by those providers’ applicable terms and privacy practices. SKENE does not directly store payment-card information merely because a user completes a transaction through a third-party processor.

14. Website Use

You may access SKENE for lawful personal, informational, educational, and professional purposes. You may link to publicly accessible SKENE pages and make uses permitted by applicable law.

Unless separately authorized or permitted by law, you may not reproduce substantial portions of SKENE-created content, remove copyright or attribution notices, falsely imply endorsement or affiliation, interfere with the website’s security or operation, or use SKENE’s trademarks, branding, or original content in a manner likely to cause confusion regarding source or sponsorship.

15. Privacy

SKENE’s collection and processing of personal information are described in the SKENE Privacy Policy. Public contributor information intentionally submitted for publication may be publicly accessible. Private contact and administrative information is handled according to that policy.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless SKENE and Josafath Reynoso Creative LLC from third-party claims, damages, liabilities, judgments, and reasonable costs arising directly from your material breach of the representations and warranties in these Terms concerning Materials you submitted, including a material misrepresentation that you possessed rights or permissions you did not possess.

This provision does not require you to indemnify SKENE for claims arising from SKENE’s independent conduct outside the authorization you granted, or to the extent indemnification is prohibited by applicable law.

17. Disclaimer and Limitation of Liability

SKENE is provided on an “as available” basis. To the extent permitted by law, SKENE makes no warranty that the website or third-party services will be uninterrupted, error-free, continuously available, or immune from unauthorized third-party copying or misuse.

To the maximum extent permitted by applicable law, SKENE and Josafath Reynoso Creative LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of SKENE or independent third-party conduct outside SKENE’s reasonable control.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

18. Dispute Resolution

Before initiating formal proceedings arising from these Terms or participation in SKENE, you and SKENE agree to make a reasonable good-faith effort to resolve the dispute through written notice and direct communication. Legal notices should be sent to legal@skene.pub.

If a dispute cannot be resolved informally, the parties agree to attempt confidential mediation before commencing binding arbitration, except where immediate injunctive or other equitable relief is reasonably necessary or where applicable law provides otherwise. Mediation may occur remotely.

Any dispute remaining unresolved after the applicable informal-resolution and mediation procedures will be resolved through binding individual arbitration under the Federal Arbitration Act and applicable rules of the American Arbitration Association, unless the parties agree otherwise in writing. Arbitration may occur remotely where appropriate.

ARBITRATION GENERALLY MEANS THAT THE PARTIES WAIVE THE RIGHT TO HAVE THE DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.

To the extent permitted by law, claims subject to arbitration must be brought individually and not as a plaintiff or class member in a purported class, collective, consolidated, or representative proceeding.

Nothing in this section prevents a party from seeking temporary, preliminary, injunctive, or other equitable relief from a court of competent jurisdiction where reasonably necessary to protect intellectual property, confidential information, security, access credentials, or against imminent harm. Courts may also be used where necessary to enforce an arbitration award or where arbitration is legally unavailable.

You may opt out of the arbitration agreement by sending written notice to legal@skene.pub within 30 days after you first accept these Terms. The notice must identify you and clearly state that you are opting out of the arbitration provision. Opting out of arbitration does not opt you out of the remainder of these Terms.

19. Governing Law and Forum

These Terms and the contractual relationship between SKENE and its users and contributors are governed by the laws of the State of Texas and applicable federal laws of the United States, without regard to conflict-of-law principles that would require application of another jurisdiction’s law.

Except for matters subject to arbitration and except where applicable law requires otherwise, judicial proceedings permitted under these Terms shall be brought in the appropriate state or federal courts located in or serving Travis County, Texas. The parties consent to the personal jurisdiction and venue of those courts.

20. International Users and Contributors

SKENE accepts participation from multiple countries. If you participate from outside the United States, you acknowledge that SKENE is a U.S.-based publication operated through a Texas entity and that your contractual participation is subject to these Terms, including their governing-law and dispute-resolution provisions.

You are responsible for ensuring that your submission of Materials to SKENE is lawful in the jurisdiction from which you submit them.

Nothing in these Terms is intended to exclude or limit rights or protections that cannot lawfully be excluded or limited. Where mandatory law applies notwithstanding these Terms, it applies to the extent legally required.

21. Changes to These Terms

SKENE may update these Terms prospectively. The Effective Date and Last Updated date will identify the applicable version. Material changes will apply prospectively unless you affirmatively accept them or applicable law provides otherwise.

A submission remains subject to the version of the contributor terms affirmatively accepted in connection with that submission unless the parties agree otherwise.

22. Severability and Entire Agreement

If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the extent permitted by law. These Terms, together with incorporated policies expressly identified as applicable, constitute the agreement governing the matters they address and do not supersede a separate written commercial agreement governing paid services or sponsorships.
